IV · Where this seat sits

This organisation operates under a two-tier structure. Supervision is a distinct body, and diligence is owed to the legal person rather than to the nominating constituency.

Three tiers of governance: shareholders elect the nõukogu or Aufsichtsrat, which appoints and supervises the juhatus or Vorstand.
Shareholders
Elect the supervisory board. They own; they do not manage. ↓ elect
Nõukogu · Aufsichtsrat
Supervisory board. Appoints and observes the executive; approves the decisions that bind the company. ↓ appoint & supervise
Juhatus · Vorstand
Management board. Runs the business day to day and answers upward.
